MLXAR AI Studio Terms of Service

Welcome to MLXAR AI STUDIO (“MLXAR,” “we,” “our,” or “us”). These Terms of Service (“Terms”) govern your access to and use of the MLXAR AI Studio platform (the “Service”), which enables users to design, configure, and execute workflows involving third-party application programming interfaces (“APIs”) and generative artificial intelligence tools.
By creating an account, accessing, or using the Service, you agree to be bound by these Terms, along with our Privacy Policy and any additional guidelines we may provide. If you do not agree, do not use the Service.
1. Eligibility
You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Service. By using MLXAR, you represent and warrant that you meet this requirement and that you have the legal capacity to enter into these Terms.
2. Use of the Service
License: Subject to compliance with these Terms, MLXAR grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service.
Prohibited Uses: You may not use the Service:
For unlawful, harmful, fraudulent, or misleading activities.
To create, distribute, or promote disinformation, hate speech, harassment, defamation, or harmful deepfakes.
To infringe intellectual property or privacy rights.
To attempt to bypass usage restrictions or security features.
We may suspend or terminate your account if we reasonably believe you have violated these Terms.
3. Third-Party Services & API Compliance
The Service allows you to integrate and call third-party APIs and generative AI applications.
You are solely responsible for ensuring your use of those third-party services complies with their applicable terms of service, licenses, and policies.
MLXAR does not control or guarantee third-party services and is not responsible for their availability, security, or outputs.
By using the Service, you agree to indemnify MLXAR against claims arising from your breach of third-party terms.
4. Intellectual Property & Ownership of Outputs
MLXAR Materials: All rights, title, and interest in the Service, its software, and content (excluding your content and third-party services) remain the property of MLXAR or its licensors.
User Inputs: You retain ownership of the data, prompts, and content you provide.
Generated Outputs: Subject to third-party rights and restrictions, MLXAR assigns to you any rights it may have in outputs generated via the Service. MLXAR does not guarantee that outputs are free from third-party claims (e.g., copyright, trademark, publicity rights).
Feedback: You grant MLXAR a perpetual, worldwide, royalty-free license to use feedback or suggestions you provide to improve the Service.
5. Data Use & Privacy
MLXAR collects and processes personal data as described in our Privacy Policy.
Workflow logs and usage data may be stored to provide the Service, monitor abuse, and improve performance.
Unless explicitly stated, MLXAR does not use your private inputs or outputs for model training.
6. Disclaimers
The Service and generated outputs are provided “as is” and “as available” without warranties of any kind.
MLXAR makes no warranty regarding accuracy, reliability, non-infringement, or suitability of outputs.
You are solely responsible for evaluating and using outputs safely and lawfully.
7. Limitation of Liability
To the maximum extent permitted by law:
MLXAR will not be liable for indirect, incidental, consequential, or punitive damages.
MLXAR’s total liability for any claim arising under these Terms will not exceed the amount you paid for the Service in the 12 months preceding the claim.
8. Indemnification
You agree to defend, indemnify, and hold harmless MLXAR and its affiliates from any claims, liabilities, damages, losses, or expenses (including attorneys’ fees) arising from:
Your use of the Service;
Your violation of these Terms;
Your violation of third-party rights.
9. Termination
MLXAR may suspend or terminate your account or access to the Service at any time if you violate these Terms, create legal risk, or for any reason at our discretion. Upon termination, your license to use the Service ceases immediately.
10. Modifications
MLXAR may modify these Terms from time to time. We will notify you of material changes by posting updated Terms on the site or sending an email notice. Continued use after changes means you accept the new Terms.
11. Governing Law & Dispute Resolution
These Terms are governed by the laws of Delaware.
Any disputes shall be resolved by binding arbitration under Delaware law, except where prohibited by law.
You waive class actions and agree disputes will be resolved individually.
12. Miscellaneous
Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement.
Severability: If any part is held invalid, the remainder remains in effect.
Assignment: You may not assign these Terms; MLXAR may assign without restriction.
